Introduction

Klein Creative Media ("KCM") provides AI Avatar and Digital Clone services utilizing artificial intelligence technologies to create digital representations, voice models, and related content for authorized clients.

KCM is committed to the responsible, ethical, and transparent use of artificial intelligence and requires appropriate authorization before creating any AI-generated likeness.

Client Authorization and Consent

No AI avatar, digital clone, voice model, or AI-generated likeness is created by KCM unless the individual being represented has knowingly provided the required training materials and authorized the creation of the avatar.

By participating in KCM's AI Avatar services, clients confirm that they have the legal right to provide all submitted photographs, videos, voice recordings, and other materials used for training and content creation.

Clients further represent that they are authorizing the use of their own likeness or that they possess all necessary rights and permissions to authorize the use of any likeness submitted to KCM.

Use of Third-Party AI Technology Providers

KCM utilizes authorized third-party artificial intelligence platforms, software providers, and technology partners to create AI-generated content, including but not limited to avatar generation, voice synthesis, image generation, video creation, and related services.

By using KCM's AI services, clients acknowledge and consent to the processing of approved training materials by such third-party providers as reasonably necessary to deliver the requested services.

The use of these technologies may also be subject to the terms, policies, privacy practices, and service limitations established by the applicable third-party providers.

KCM cannot guarantee the future availability, functionality, or policies of any third-party AI platform.

Client Review and Approval

Clients are provided the opportunity to review and approve their avatar and initial AI-generated content prior to publication or distribution.

For ongoing content production services, review and approval procedures may be governed by the specific service agreement between KCM and the client.

Permitted Uses

AI-generated content may be used for a variety of lawful business, educational, marketing, training, informational, and communication purposes, including but not limited to:

* Social media content
* Marketing and promotional materials
* Educational content
* Website content
* Internal communications
* Training and onboarding materials
* Frequently asked questions
* Customer support resources
* Presentations and public speaking support materials

AI Technology Limitations

Artificial intelligence technology continues to evolve and is not perfect.

Clients acknowledge that AI-generated content may contain variations, inaccuracies, visual artifacts, voice inconsistencies, or differences from a person's actual appearance, movements, expressions, mannerisms, or speech patterns.

While KCM strives to create high-quality and accurate representations, exact replication of a person's appearance, voice, environment, or behavior cannot be guaranteed.

## Intellectual Property and Ownership

Ownership rights to AI-generated content, training materials, deliverables, and related assets shall be governed by the applicable service agreement between KCM and the client, as well as any applicable third-party platform terms.

Nothing in these Terms shall be interpreted as granting ownership rights beyond those expressly provided in the applicable service agreement.

Ethical Use of AI

KCM is committed to the ethical use of artificial intelligence.

KCM does not knowingly create unauthorized digital replicas, deceptive impersonations, fraudulent content, or AI-generated materials intended to misrepresent the identity of an individual without authorization.

KCM reserves the right to decline any project that it believes may violate applicable laws, platform policies, intellectual property rights, privacy rights, or ethical standards.

Limitation of Liability

KCM shall not be responsible for changes to third-party AI platforms, service interruptions, platform restrictions, policy changes, output variations, or other factors beyond KCM's reasonable control.

Clients acknowledge that AI-generated content is inherently variable and that results may differ from expectations.

Acceptance

By engaging KCM for AI Avatar or Digital Clone services, clients acknowledge that they have read, understood, and agree to these terms and consent to the creation of AI-generated content as described herein.
